1. Acceptance of Terms

By accessing or using XVaultPro Shop, the XVaultPro password vault software, and related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.

We reserve the right to modify these Terms at any time. Continued use of the Services after changes constitutes acceptance of the modified Terms.

2. License Grant

2.1 Personal & Commercial Use

Subject to your compliance with these Terms and your valid license, XDRIP Digital Management LLC grants you a limited, non-exclusive, non-transferable license to install and use XVaultPro on devices you own or control.

2.2 License Restrictions

Licenses are non-transferable except as expressly permitted. You may not redistribute, sublicense, rent, lease, or share your license key with unauthorized parties. Reverse engineering, decompilation, or disassembly of the Software is prohibited except to the extent such activity is expressly permitted by applicable law.

3. Purchases, Subscriptions & Refunds

3.1 Perpetual Licenses

XVaultPro software is sold as a one-time perpetual license. Your license never expires and works forever, regardless of whether you maintain a support subscription.

3.2 Vault Guardian Subscriptions

XVaultPro offers optional Vault Guardian support subscriptions (Watchtower, Guardian, Sentinel) with recurring billing. Each tier includes the features described at checkout. Subscriptions renew automatically unless canceled before the renewal date.

3.3 Cancellation

You may cancel your subscription at any time from your account dashboard. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused portions of the billing period unless required by law.

3.4 Refunds

4. Pricing and Payment

Payment is processed securely through Stripe. By providing payment information, you represent that you are authorized to use the payment method. All pricing is displayed at checkout. Taxes are calculated at checkout per your billing location.

5. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to any part of the Services or related systems
• Reverse engineer, decompile, or disassemble any software provided through the Services
• Redistribute, sublicense, or share your license credentials with unauthorized parties
• Interfere with or disrupt the integrity or performance of the Services

6. User Accounts

You are responsible for maintaining the confidentiality of your master password, license keys, and account credentials, and for all activities under your account. You must immediately notify us of any unauthorized use.

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

7. Intellectual Property

All content, trademarks, logos, and intellectual property on our Services are owned by or licensed to XDRIP Digital Management LLC. You may not use, reproduce, or distribute any content without our written permission.

8. Right of Withdrawal — EU Consumers

EU consumers have a 14-day right of withdrawal in accordance with the EU Consumer Rights Directive.

XVaultPro is a perpetual, offline software product with no activation server, no DRM, and no license enforcement mechanism. Because no irreversible digital content delivery is employed, your statutory withdrawal right is preserved in full.

9. Software Disclaimer & "As Is" Terms

XVaultPro software is provided "as is" and "as available" without warranties of any kind, whether express or implied. XDRIP Digital Management LLC disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• The total aggregate liability of XDRIP Digital Management LLC for all claims shall not exceed the greater of: (i) total fees paid during the twelve (12) months preceding the claim; or (ii) one hundred United States dollars (USD $100.00)
• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• We are not liable for any loss of credentials, stored data, or vault contents
• We are not responsible for third-party services or infrastructure

11. Class Action and Jury Trial Waiver

To the fullest extent permitted by applicable law, you and XDRIP Digital Management LLC agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

12. Export Compliance

The Software may contain or utilize encryption technology subject to export control laws and regulations, including the U.S. Export Administration Regulations (EAR) and OFAC regulations. You agree to comply with all applicable export control and sanctions laws in your use of the Software.

13. Governing Law

These Terms are governed by the laws of the State of Colorado, United States. EU consumers retain their mandatory statutory rights under applicable EU consumer protection law regardless of this governing law clause.
